Non-Disclosure Agreement

Before we dive into the good stuff — strategies, systems, and everything we're about to build together — we need to make sure what stays between us, stays between us. This is a standard mutual NDA. Review it below and sign at the bottom.

1. The Parties

This Non-Disclosure Agreement ("Agreement") is entered into between ClickHappens Agency LLC ("Company"), and the individual or entity signing below ("Recipient"), collectively referred to as the "Parties."

2. What's Confidential

"Confidential Information" means any non-public information shared by either Party in connection with a business relationship, including but not limited to:

  • Business strategies, systems, and workflows
  • Client lists, pricing, and proposals
  • Marketing campaigns, funnels, and automations
  • Software configurations, tools, and integrations
  • Financial data and projections
  • Any other information marked or understood to be confidential

3. Your Obligations

The Recipient agrees to:

  • Keep all Confidential Information strictly private
  • Not share it with any third party without prior written consent
  • Use it only for the purpose of the business relationship with ClickHappens Agency
  • Take reasonable precautions to prevent unauthorized disclosure

4. What's NOT Covered

This Agreement does not apply to information that:

  • Was already publicly known at the time of disclosure
  • Becomes publicly known through no fault of the Recipient
  • Was independently developed by the Recipient without reference to the Confidential Information
  • Is required to be disclosed by law or court order (with prompt notice to us)

5. Duration

This Agreement remains in effect for two (2) years from the date of signing, and survives the end of any business relationship between the Parties.

6. Mutual Protection

This NDA is mutual. ClickHappens Agency LLC agrees to the same obligations regarding any confidential information you share with us.

7. Remedies

Both Parties acknowledge that a breach of this Agreement may cause irreparable harm for which monetary damages would be insufficient. Either Party may seek injunctive relief in addition to any other available legal remedies.

8. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to its conflict of law principles.

9. Entire Agreement

This document constitutes the entire agreement between the Parties with respect to confidentiality and supersedes all prior discussions or agreements on this subject.
